1. Programme overview
VulaKomplex (Pty) Ltd ("VulaKomplex", "we", "us") operates a referral programme that allows eligible participants ("Referral Partners") to earn rewards by referring new paying customers to the VulaKomplex platform. Participation constitutes acceptance of these terms in full.
2. Eligibility
To participate, you must: (a) be a South African resident or registered entity; (b) be 18 years or older and legally capable of entering into these terms, or be duly authorised to act for a registered entity; (c) register via this form and accept these terms; and (d) comply with all applicable laws including PRECCA, direct-marketing rules, and any applicable fiduciary duties. VulaKomplex reserves the right to decline or revoke eligibility at its sole discretion.
3. Qualifying referral
A referral qualifies for reward when the referred complex: (a) registers via your unique referral link; (b) activates and maintains an active paid VulaKomplex subscription; and (c) completes a 3-calendar-month qualifying period without cancellation or payment default. VulaKomplex will review and approve all referrals. Approval is at VulaKomplex's sole discretion.
Where the referring party is itself a VulaKomplex subscriber (e.g. a complex or managing agent on the platform), they may submit referrals at any time, but the qualifying period for the reward will only begin once the referring party has itself completed 3 full calendar months of active paid subscription. This ensures a minimum of 3 months of subscription income is received from the referring party before any reward obligation arises.
4. Rewards
Individual track: R750 per qualified referral, paid as a cash transfer to your nominated bank account or as a Takealot voucher, at your election at the time of payout. VulaKomplex will contact you to confirm your preferred payment method when a reward becomes payable.
B2B / Scheme track: Subscription credit equal to 6 months of the referred complex's qualifying subscription value per qualified referral, for managing agents and multi-scheme operators as determined by VulaKomplex. Credits are stackable and roll forward while the account remains active and in good standing. Credits expire 36 months after vesting if unused.
VulaKomplex may change, suspend, or terminate the reward structure with 30 days' notice. Changes will not reduce rewards that have already vested and been approved, except where there has been fraud, error, abuse, misrepresentation, or breach of these terms.
4A. Subscription credit calculation
Where a qualifying referral reward is issued as subscription credit, the value of the credit will be calculated with reference to the referred complex, not the referring account, as follows:
Credit = verified billable units of the referred complex × applicable monthly subscription rate × 6 months.
The applicable monthly subscription rate is the referred complex's tier at qualification date. Where the referred complex has changed subscription tier before qualification, VulaKomplex will use the lower of the tier selected at signup and the tier at qualification date. Verified billable units are the units confirmed on the referred complex's account at the end of the third fully paid billing month — not units entered at signup.
A referral qualifies only once: (a) the referred complex has completed three consecutive fully paid billing months with no outstanding amounts; (b) the referring account has itself completed three consecutive fully paid billing months and is in good standing; and (c) the referred complex was not already in active discussion, onboarding, pilot, demo, or sales process with VulaKomplex at the time the referral link was used.
Referral credits are applied to subscription fees only. Credits may not be used for onboarding fees, implementation fees, custom development, third-party charges (including WhatsApp, messaging, integrations), usage-based charges, arrears, or any non-subscription amounts. Credits may not reduce more than 50% of the referring account's monthly subscription fee in any billing month. Credits are non-transferable, have no cash value, and lapse immediately on cancellation, suspension, or termination of the referring account. Credits expire 36 months after vesting if unused. VulaKomplex may withhold, reverse, or cancel credits where it reasonably believes the referral was not genuine, was already in VulaKomplex's sales pipeline, or was structured to abuse the programme.
5. Disqualification
Referrals will be disqualified if: (a) the referred complex does not complete the qualifying period; (b) the referral is a self-referral; (c) you are a trustee, chairperson, director, managing agent, portfolio manager, employee, or other fiduciary of the referred scheme; (d) fraud or misrepresentation is involved; (e) the referral involves any hidden commission, inducement, or conflict of interest; or (f) your partner account is suspended or terminated.
6. Fiduciary obligations
If you are a trustee, chairperson, director, managing agent, portfolio manager, employee, or other fiduciary of the complex you intend to refer, you are not eligible to claim any personal cash reward for that referral, whether disclosed or not. This restriction applies only to the specific complex you hold a fiduciary role in — you may freely refer other complexes you have no role in. If you believe your role has ended or is disputed, you must disclose this to VulaKomplex before submitting the referral.
6A. Anti-bribery and conflicts
Referral Partners may not offer, request, accept, conceal, share, or route any reward in a way that could improperly influence a procurement decision, cause another person to breach a legal or fiduciary duty, or create a hidden commission or undisclosed conflict of interest. Referral Partners may not represent that they are agents, employees, or authorised representatives of VulaKomplex, and may not bind VulaKomplex to any pricing, contract term, promise, or service commitment.
7. Tax obligations (SARS)
Referral rewards may constitute taxable income under South African tax law. You are solely responsible for declaring all rewards on your annual SARS ITR12 where required. If cumulative rewards exceed VulaKomplex's reporting threshold of R1999 in a calendar year, VulaKomplex may require KYC verification and issue applicable SARS reporting documentation.
8. Data processing (POPIA)
By registering, you consent to VulaKomplex processing your personal information (name, email, phone, and where applicable, ID number, SARS tax number, and residential address) for programme administration, reward payment, fraud prevention, and applicable SARS reporting. Data is retained for 5 years. See our Privacy Policy.
9. Link validity & conduct
Your referral link is personal and non-transferable. Links unused for 12 consecutive months are automatically deactivated. You may not use your link in paid advertising, spam, or misleading communications. You may only contact potential referrals where you have a lawful basis, existing relationship, or consent to do so, and you must disclose that you may receive a referral benefit if they become a paying VulaKomplex customer.
10. Governing law
These terms are governed by South African law. Disputes are subject to the jurisdiction of the Gauteng Division of the High Court of South Africa.
